Passed by the first meeting of the Committee of Profession, the Council of HASA
On the day of June 17, 2011

Per the resolution achieved at the Second Meeting of the Drafting Committee of HR Administrators & Specialists Association on April 10th, 2010, and the request stipulated in the Charter for the Founding Members’ Conference of HR Administration & Strategy Association passed on August 25th, 2010 by the
founding members of HASA, as approved by the government, the first meeting of the Committee of Profession of the 1st Session of HASA Council opened on June 17th, 2011 and reviewed and passed the resolution of establishing HASA Foundation (Hereinafter referred as “the Foundation”).
HASA Foundation, as a member of HASA association, will be majorly held by HASA, with the minor shares owned by other investors.
The purpose of setting HASA Foundation is to sustain the normal operations and continuous improvement of HASA, assisting HASA to achieve its mission and vision from financial perspective. Hence, HASA shall authorize the Foundation to manage the related operations of HASA.
Meanwhile, the meeting also agrees to establish Shanghai HASA Investment Management Co., Ltd.(Referred as “Shanghai Foundation” hereinafter) Shanghai HASA will be a subsidiary of HASA Foundation,responsible for the corresponding operations of HASA.
